Before you begin, please read our Terms of Service which includes our Privacy Policy, our terms of Sale, and our Content and Community Guidelines ("Terms"). The Terms apply to your access and use of the mobile app, websites and any other online products and services (“Services”)  provided by Short Content Ltd (trading as Novellea, a company registered in England and Wales with company number 13129780 whose registered office is at Suite 3 1-3 Warren Court, Park Road, Crowborough, United Kingdom, TN6 2QX (“Novellea,” “we,” “us” or “our”). By accessing or using our Services, you (“User”, “Author”, “Writer”) acknowledge you have read, understood and agreed to all aspects of the Terms of Service. Any breach of our Terms will terminate your access and use of our Services.

1. Access to our Services

You need to be at least 13 years old to use our Services and Mature-rated content requires you to be 18 years of age or older.

2.  Account Registration 

You will need to register for an account to use our Services and provide us with a username, password and your personal information (please read our Privacy Policy). Please make sure the information you provide to Novellea upon registration and at all other times is current and true.

You are responsible for the account information given. We recommend that you do not share your password with others.
You are not permitted to share your account with anyone else, or to allow access to it or use of it by anyone else.

3. Your Content Rights and Ownership

You retain all rights to the content you submit, post or display on our Services, and Novellea will not sell or redistribute your content without your permission.

By posting your content onto our Services, you represent that you have all rights and authority required to do so. If you post or share content without all necessary rights, you may expose yourself to liability and legal action. 

By submitting, posting or displaying your content on our Services, you grant Novellea the following licence: a non-exclusive, royalty-free, worldwide, fully-paid, and licence to use, reproduce, adapt, publish, distribute and display your content (and any name, username or likeness provided in connection with your content) in all media formats and via all distribution methods now known or later developed on our Services.

Without this licence, we cannot display your content on our Services. You have the right to terminate your account and licence, and stop using our Services at any time.

Rest assured, your content rights and ownership are of utmost importance to us here at Novellea. We take pride in respecting and safeguarding the intellectual property of our users. Our primary objective is to create an environment where you feel secure sharing your creative work, knowing that it remains yours and will not be exploited without your consent. The license granted to Novellea solely allows us to display your content on our Services and enhance your experience while using our platform. Should you choose to terminate your account, the license will be revoked, and we will cease to use your content. Your trust is our priority, and we are committed to upholding the highest standards of content rights protection.

3.1 Subscription Service Revenue Program

​

1. We offer a paid Subscription Service to our Users, generating Subscription Service Revenue to Novellea. 

2. A percentage of the total Subscription Service Revenue will be evenly divided near the end of each month to Authors based on the total number of story likes received by subscribers.

3. You will need a PayPal account to be eligible to use our Subscription Service Revenue Program. You need to be 18 to have a PayPal account. See PayPal’s terms for more details. 

4. We reserve the right to amend the Subscription Service Revenue Program at any time without prior notice.

3.2  Receiving Payment

1. You must have an active PayPal account in order to receive payment. At this time, PayPal is the most efficient method to facilitate payments to Authors on a global scale. Please note, PayPal transfer fees may apply, which are determined by PayPal. All payments are made in GBP and a currency conversion charge may apply.

2. Payments will be automatically processed near the end of every month but may take three to five business days to transfer into your PayPal account. The actual timing of payments is determined by PayPal. See PayPal’s User Agreement for full details. 

3. You are solely responsible for all taxes associated with your income resulting from all payments.

4. Novellea is not responsible for any error with your PayPal account or information.

4. Our Rights

We may suspend or remove your content for any reason. For example, we will remove your content or suspend your account if we suspect you are violating our Terms of Service or infringing someone’s copyright.
Our Services are protected by laws such as copyright, trademark law, and the other UK and foreign laws. We do not grant you any rights to our brand, Services, or other users’ content.

5. Copyright 

We do not tolerate copyright infringement. If you suspect anyone infringing your copyright, please complete this Form. If a claim has been made against you, we will contact you with instructions on how to proceed. If you have any questions regarding copyright, please feel free to contact us at contact@novellea.com.
We make every effort to protect your content against unauthorised copying and distribution, but we cannot guarantee that these will not occur on our Services. Therefore, by using our Services, you agree that Novellea will not be liable, and you waive any claims against us, for any unauthorised copying, use, or distribution of your content.

6. Prohibited Conduct

Creating the best possible experience for our community requires everyone to follow our Terms and not engage in prohibited conduct. Please see our Community Guidelines and Content Guidelines for a list of conduct we do not allow at Novellea.
 

7. Advertisement & Third-Party Content

​

Our partners, affiliates, and advertisers may post external links and advertisements on our platform. Accessing or using third-party content will be at your own risk and we are not liable or responsible for third-party websites, products, or services. You acknowledge and agree that we may place advertisements in connection with the display of any content or information on our Services, including your content.

8.  Disclaimers

The Services are provided “as is'' and “as available” without warranties of any kind either express or implied. We do not guarantee our Services will be available. Use of our Services is solely at your own risk.

Novellea disclaims any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the fullest extent permitted by law.

Novellea may offer information about third-party content, but we do not represent third parties, control their content, or have any responsibility for their content. We will keep your information and use of our Services as safe as possible, but we do not represent or warrant that our Services and servers are free from viruses or harmful components.

9. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Novellea, our officers, employees, affiliates, third-party service providers, licensors, and partners against any claim or demand, including costs and legal fees, made by any third party, related or due to (i) your use of our Services, (ii) your content, (iii) your violation of these Terms of Service, and (iv) your violation of applicable laws or regulations. You agree to notify us immediately of any third-party claim. We reserve the right to control the defence of these claims, and you agree to cooperate with us in our defence of these claims.

10. Our Liability

THIS CLAUSE SETS OUT OUR ENTIRE LIABILITY TO YOU IN RELATION TO OUR SERVICES. PLEASE READ IT CAREFULLY. NOTHING IN THIS CLAUSE LIMITS ANY LIABILITY WE MAY NOT, AT LAW, LIMIT (E.G. LIABILITY FOR FRAUD). IN NO EVENT, AND UNDER NO THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE), WILL NOVELLEA BE LIABLE TO YOU FOR ANY INDIRECT SPECIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST CONTRACTS OR OPPORTUNITIES, DAMAGE TO REPUTATION, OR LOSS OF DATA, ACCESS TO, AND USE OF, THE SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER
SYSTEM, OR LOSS OF DATA. IN NO EVENT WILL OUR LIABILITY EXCEED ONE HUNDRED POUNDS STERLING (£100).
This limitation of liability will apply to the fullest extent permitted by law in the applicable jurisdiction. If any part of it is unlawful it will be severed from these Terms of Service and a clause most closely matching the intent of the original clause will be substituted.

11. Governing Law & Disputes

By using our Services, you agree to contact us for any issues or disputes here, as we hope to try to informally resolve the matter. If you are a consumer, our Terms of Service, their subject matter and the contract’s formation are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland you may also bring proceedings in Scotland. If you are a business, our Terms of Service, their subject matter, and the contract’s information (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales

12. Amendments

From time to time, we may amend our Terms of Service. Amendments will be effective immediately unless stated otherwise. We will always keep you informed of any updates by sending an email to the email address associated with your account. If you do not agree with the amendment, your access and use of our Services will be terminated.
